Terms and Conditions Agreement

This Terms and Conditions Agreement is entered into on the approval date of this document, between the Parent/Guardian, on behalf of the student athlete whose name appears in the attached sign up sheet. ("Athlete"), a minor, and iBD Sports, a company, with its principal place of business in the State of Utah .

1. Authorization
1.1 Parent hereby authorizes iBD Sports to create a custom Merchandise Store featuring Athlete's name, image, likeness, and any related intellectual property ("NIL Rights") for the purpose of marketing and selling merchandise ("Merchandise") bearing Athlete's NIL Rights.
2. Royalties
2.1 In consideration for the rights granted herein, iBD Sports shall pay Athlete, through Parent, a royalty fee of 15% of the Gross Product Price derived from the sale of Merchandise bearing Athlete's NIL Rights.
2.2 Royalty payments shall be made to Parent on a monthly basis, within 30 days following the end of each accounting period.
3. Representations and Warranties
3.1 Parent represents and warrants that they have the legal authority to enter into this Agreement on behalf of Athlete and to grant the rights provided herein.
4. Merchandise Design and Approval
4.1 Parent shall have the right to reasonably approve or reject their chosen design based only on Correct spelling of provided information by Student and/or Parent.
4.2 Parent acknowledges iBD Sports shall have the final decision-making authority regarding the design, production, and marketing of Merchandise.
5. Indemnification
5.1 Parent agrees to indemnify, defend, and hold harmless Company from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any breach of this Agreement by Parent or Athlete.
6. Governing Law
6.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.
7. Entire Agreement
7.1 This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, agreements, and understandings, whether written or oral.
